Terms of Service
1. Eligibility
You must be at least 18 and able to form a binding contract. If you use the Service on behalf of an organisation, you confirm you are authorised to bind it, and "you" includes that organisation.
2. The Service
neuro-viral is an AI tool that produces a prediction of how an average human brain may respond to a video, presented as an interactive map and written insight. Outputs are probabilistic estimates generated by a model — not measurements of any real person's brain and not guarantees of attention, engagement, virality, or commercial results. 3. Accounts
You are responsible for your account credentials and for activity under your account. Keep your password secure and notify us promptly of any unauthorised use. We may suspend accounts to protect the Service or other users.
4. Plans, billing, renewals & cancellation
- Paid plans, allowances, and prices are shown at the point of purchase. Subscriptions renew automatically for the stated period until cancelled.
- You can cancel future renewals at any time; cancellation takes effect at the end of the current billing period. Fees already paid are non-refundable except where required by law or expressly stated.
- Consumer cancellation right: if you are a consumer in the UK, you normally have 14 days to cancel a purchase. Because the Service supplies digital content/services immediately, by starting a scan within that period you request immediate performance and acknowledge you lose the 14-day right once the service has been fully performed.
- We may change prices on reasonable notice; changes apply to the next billing period.
- You are responsible for applicable taxes unless stated otherwise.
5. Your content & the licence you grant us
You retain ownership of the videos and material you submit ("Your Content"). You grant VINCLI a worldwide, non-exclusive, royalty-free licence to host, process, transcode, and analyse Your Content solely to provide the Service to you and to display your results. You represent and warrant that you own or have all necessary rights to Your Content and that its processing by us does not infringe any third party's rights or any law. You must comply with our Acceptable Use Policy.
6. Intellectual property
The Service, including its software, interface, visualisations, branding, and the neuro-viral name and logo, is owned by VINCLI LTD or its licensors and is protected by intellectual-property laws. We grant you a limited, revocable, non-transferable licence to use the Service per these terms. You may not copy, modify, reverse engineer, resell, or create derivative works from the Service except as permitted by law.
Third-party components. The Service incorporates third-party and open-source components, including AI models, that are subject to their own licences. Those licences govern the relevant components and may limit certain uses. Nothing in these terms grants you rights in third-party components beyond those their licences allow.
7. Acceptable use
You must not misuse the Service. Prohibited conduct is set out in our Acceptable Use Policy, which forms part of these terms. We may remove content or suspend access for breach.
8. No professional advice; "as is"
The Service does not provide medical, clinical, diagnostic, psychological, or neuroscientific advice and must not be used for any such purpose, or for decisions about an individual's health, employment, safety, or legal status. To the fullest extent permitted by law, the Service is provided "as is" and "as available", and we disclaim all warranties, express or implied, including fitness for a particular purpose, accuracy, and non-infringement.
9. Limitation of liability
Nothing in these terms limits liability that cannot be limited by law, including liability for death or personal injury caused by our negligence, or for fraud.
Subject to that, to the fullest extent permitted by law:
- we are not liable for indirect, incidental, special, or consequential loss, or for loss of profits, revenue, goodwill, data, or anticipated savings; and
- our total aggregate liability arising out of or relating to the Service is limited to the greater of (a) the fees you paid us in the 12 months before the event giving rise to the claim, or (b) £100.
10. Indemnity
You will indemnify and hold harmless VINCLI LTD and its officers, employees, and agents from claims, losses, and reasonable costs arising from Your Content, your use of the Service, or your breach of these terms or the Acceptable Use Policy.
11. Suspension & termination
You may stop using the Service and close your account at any time. We may suspend or terminate access if you breach these terms, if required by law, or to protect the Service or others. On termination, the licences you grant survive only as needed to display your existing results; sections that by their nature should survive (e.g. IP, disclaimers, liability, indemnity, governing law) will survive.
12. Changes to the Service or terms
We may modify the Service or these terms. We will post updates here and revise the "Last updated" date; material changes may be notified in-product or by email. Continued use after changes take effect means you accept them.
13. Governing law & jurisdiction
These terms and any dispute relating to them are governed by the laws of England & Wales. The courts of England & Wales have exclusive jurisdiction, except that if you are a consumer you may also have the right to bring proceedings in your country of residence.
14. General
If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these terms without our consent; we may assign them to an affiliate or successor. These terms (with the policies referenced) are the entire agreement between us regarding the Service.
